Terms of Use

1. About these terms

1.1 These terms of use (the Terms) apply to Pertech Solutions Product Research Tools (the Service), provided by [Company name], registered in Ireland under number [registered number], whose registered office is at [registered address] (Pertech, we, us).

1.2 The Terms form a contract between Pertech and the business that registers for the Service (the Customer, you). By creating an account, or by using the Service, you accept these Terms on behalf of that business. If you do not accept them, do not use the Service.

1.3 The Service is for business use only. It is not offered to consumers.

1.4 In these Terms:

• Users means the individual people you authorise to use the Service under your account.
• Output means anything the Service produces for you, including product titles, descriptions, specifications, attributes, categories, search and SEO text, links, research sources and images.
• Third-party Material means any text, data, images, video or other material owned by someone other than you or Pertech, including material on manufacturers' and retailers' websites.

2. The Service is a facility only

2.1 The Service is a software tool. At your direction, it searches publicly available sources, gathers product information, suggests images, and drafts product content for you to review.

2.2 Pertech provides the facility only. We do not publish, sell or advertise any product, and we do not decide what you publish. You decide whether, where and how to use any Output.

2.3 Output is produced automatically, in part by artificial intelligence. It is a draft for you to check. It is not professional, technical, legal or regulatory advice.

2.4 We may change, improve or withdraw features of the Service from time to time. We will try to give you reasonable notice of any change that significantly reduces what the Service does.

3. Accounts and access

3.1 Each account belongs to one business. You must not let any other business, or anyone who is not your employee or contractor, use your account or its Output.

3.2 Each User must have their own login, using an email address at your business. Logins must not be shared between people.

3.3 You are responsible for everything done under your account, and for keeping login details secure. Tell us promptly at [support email] if you suspect unauthorised use.

3.4 Each User can be signed in on one device or browser at a time. Signing in somewhere new ends the earlier session.

3.5 To keep accounts secure and to detect shared logins or misuse, we record the time, internet (IP) address, approximate location (town and country) and device or browser of each sign-in, and look at usage patterns. If we reasonably believe a login is being shared or misused, we may contact you, ask you to add the people using it as Users (and pay for any extra Users your plan requires), end sessions, reset access, or suspend that User or your account under clause 12.2.

3.6 We may set a limit on the number of Users for each plan.

4. Your plan and usage

4.1 Your plan, price, usage allowance and renewal date are set out in your order or on your account page.

4.2 Usage is measured by our systems, including each product researched. Our usage records are the basis for billing, unless you show us that they are wrong.

4.3 If you reach your allowance, the Service may stop new research until your allowance resets or you move to a higher plan.

5. Your responsibility for what you publish

5.1 You are solely responsible for any Output you choose to use, copy, publish, sell from or rely on, in any place and in any form.

5.2 Before publishing any Output, you must check it, and you are responsible for making sure that:

• product details, specifications, model numbers, EANs, colours, dimensions, energy information and warranty statements are accurate and complete;
• you hold, or have obtained, every right and permission needed to use any images, video, trade marks, logos, brand names or other Third-party Material, for example under a stockist or dealer agreement with the manufacturer;
• your product listings comply with all laws that apply to you, including consumer protection, advertising, product safety, energy labelling and e-commerce rules; and
• your use of the Output does not infringe anyone's rights or mislead anyone.

5.3 Status markers, flags and notes in the Service (such as green, amber and red) are aids only. A green marker does not mean that Output is accurate, complete or cleared for use.

5.4 An energy class, warranty or similar badge added to an image by the Service does not replace any label, notice or information that the law requires you to display.

5.5 Store connections. If you connect an online store to the Service (for example a WooCommerce store), you authorise Pertech to read from it and to update the products you choose, using the access keys you give us. Updates are made only on your instruction. By default only draft products are updated; published products are updated only when you choose to do so (for example when replacing a content feed). Prices, stock levels, SKUs and product status are never changed by the Service. You remain responsible for everything published in your store, for checking each update, and for the access keys you give us, which you may withdraw at any time. Keys are stored encrypted and used only to carry out your instructions.

6. Third-party content and images

6.1 The Service locates and retrieves publicly available Third-party Material on your behalf and at your direction. Pertech does not own that material, does not license it to you, and gives no assurance that you may use it.

6.2 The Service is designed to prefer manufacturers' own websites and recognised product data sources for images, and to rewrite text rather than copy it. Where no manufacturer image is available, the Service may suggest images found on other retailers' websites. These are marked with their source in the Service and in downloads. They belong to their owners, and you must not use them unless you have the owner's permission. None of this transfers any rights to you.

6.3 Any copies of images or other Third-party Material that the Service makes or stores are made only to provide the Service to you, and on your instruction.

6.4 Research sources are shown so that you can check the Output. You are responsible for checking a source's terms before relying on it.

6.5 Pertech has no responsibility for the content, accuracy, availability or terms of any third-party website or data source.

7. Disclaimers

7.1 The Service and all Output are provided "as is" and "as available".

7.2 To the fullest extent permitted by law, Pertech gives no warranty, representation or condition, express or implied, that:

• Output is accurate, complete, current, original or fit for any purpose;
• Output, or your use of it, will not infringe any third party's rights;
• the Service will be uninterrupted, error-free, or able to reach any particular website or source; or
• the Service will find any particular product, image or piece of information.

7.3 You acknowledge that automated and AI-generated content can contain errors, including wrong specifications, wrong colours or models, and statements that sound confident but are incorrect.

8. Indemnity

8.1 You will indemnify Pertech, its directors, employees and contractors, and keep them indemnified, against all claims, losses, damages, fines, costs and expenses (including reasonable legal fees) arising out of or in connection with:

• any Output, or other material, that you or your Users use, publish or distribute;
• any claim that your use of Output or Third-party Material infringes a third party's intellectual property or other rights;
• your breach of these Terms or of any law; or
• any use of your account, including by people you allowed to use it.

8.2 Pertech will tell you promptly about any claim covered by this clause, will not settle it without your agreement (which you will not unreasonably withhold), and will give you reasonable help at your cost.

9. Limitation of liability

9.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under Irish law.

9.2 Subject to clause 9.1, Pertech is not liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for:

• loss of profit, revenue, sales, business or goodwill;
• loss or corruption of data;
• any claim made against you by a third party, including a rights holder or regulator; or
• any indirect or consequential loss.

9.3 Subject to clause 9.1, Pertech's total liability to you under or in connection with these Terms is limited to the fees you paid for the Service in the 12 months before the event that gave rise to the claim.

10. Complaints and takedown

10.1 Anyone who believes that material stored or made available through the Service infringes their rights may contact Pertech at [support email], giving details of the material and of their rights.

10.2 Pertech may remove or disable any stored material, including from shared product records, while a complaint is looked into, and may permanently remove it.

10.3 If you receive a complaint about Output you have published, you are responsible for dealing with it. Please also tell Pertech, so that we can remove the material from the Service if needed.

11. Acceptable use

You must not, and must not allow anyone else to:

• share, resell, sublicense or provide the Service, or access to it, to any other business;
• use the Service to collect data in bulk from any single website, or in a way that breaches a website's terms or technical restrictions;
• try to get around usage limits, security or access controls;
• copy, reverse engineer or build a competing product from the Service, except as the law allows; or
• use the Service for anything unlawful, misleading or harmful.

12. Fees, payment and suspension

12.1 You will pay the fees for your plan as set out in your order, within [X] days of invoice. Prices exclude VAT, which is added where it applies.

12.2 Pertech may suspend your access, with or without notice, if fees are overdue, if your use breaches these Terms, or if suspension is needed to protect the Service, other customers or third parties.

12.3 Fees are not refundable, except where these Terms say otherwise or the law requires it.

13. Data protection

13.1 Pertech processes personal data about your Users (such as names, email addresses, usage records and sign-in records, including IP address, approximate location and device or browser) and your billing contact details to provide, secure and bill for the Service, in line with our privacy notice at [website]. Billing and usage records are kept for as long as the law requires for accounting purposes. Sign-in records are kept for 12 months.

13.2 You must not enter personal data about other people into the Service, except Users' account details.

13.3 Pertech uses trusted service providers to host and run the Service, including cloud hosting and AI model providers. They process data only on our instructions.

13.4 The Service uses one cookie, which keeps a User signed in. It is strictly necessary for the Service to work, so no consent is needed for it. The Service does not use analytics, advertising or tracking cookies, and does not load fonts or scripts from third parties.

14. Your content and our rights

14.1 As between you and Pertech, you own the product lists you upload. You give Pertech permission to use them to provide the Service.

14.2 You give Pertech permission to keep and reuse product facts the Service gathers (such as model numbers, specifications and source links) to improve the Service and to provide it to other customers. This does not include your own written content, logos, badges or customer data.

14.3 Pertech owns the Service and all rights in it. These Terms do not give you any rights in the Service other than the right to use it during your subscription.

15. Changes, term and ending the contract

15.1 Your subscription runs for the period in your order and renews unless either of us gives notice before the renewal date.

15.2 Pertech may change these Terms by giving you at least [X] days' notice by email or in the Service. If you do not accept a change, you may end your subscription before it takes effect.

15.3 Either of us may end the contract at once by written notice if the other seriously breaches these Terms and does not put it right within [X] days of being asked to.

15.4 When the contract ends, your access stops. Pertech may delete your account data after [X] days. Clauses 5 to 9, 14 and 16 continue to apply.

16. General

16.1 These Terms are the whole agreement between you and Pertech about the Service.

16.2 If any part of these Terms is found to be unenforceable, the rest continues to apply.

16.3 These Terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction over any dispute.
